Non-Disclosure Agreement

This Agreement is entered into between Zep Tepi Studio, represented by Julieta Ruiz, Founder Director (hello@zeptepi-consulting.com), referred to as the Disclosing Party, and the individual identified below, referred to as the Receiving Party.

By completing and submitting this form, the Receiving Party agrees to all terms below.

1. Confidential Information

All content accessible through this document, including but not limited to business strategy, financial projections, product architecture, platform design, methodology, intellectual property, dual-entity structure, partnership frameworks, and any other information disclosed herein, is considered Confidential Information.

2. Obligations of the Receiving Party

(a) Hold all Confidential Information in strict confidence and protect it with at least the same degree of care used to protect your own confidential information, but in no event less than reasonable care.

(b) Not disclose any Confidential Information to third parties without the prior written consent of the Disclosing Party.

(c) Use the Confidential Information solely for the purpose of evaluating a potential business or partnership relationship with the Disclosing Party.

(d) Not reproduce, screenshot, copy, or distribute any portion of this document or its contents.

3. Duration

This Agreement remains in effect for five (5) years from the date signed below.

4. Return or Destruction

Upon written request from the Disclosing Party, the Receiving Party will promptly destroy or return all materials containing Confidential Information.

5. Remedies

The Receiving Party acknowledges that breach of this Agreement may cause irreparable harm to the Disclosing Party. The Disclosing Party shall be entitled to seek injunctive relief in addition to any other legal or equitable remedies available.

6. Electronic Signature

Submission of this form with your full legal name constitutes a valid and binding electronic signature under EU Regulation No 910/2014 (eIDAS). The timestamp recorded at the moment of submission is legally recognised as the date and time of signing.

7. Governing Law

This Agreement is governed by the laws of the Netherlands. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of the Netherlands.

The Problem

Only 1 in 3 businesses globally
is woman-owned.

This is not a gap in women's ambition, capability, or vision. It is a gap in the architecture. The entire infrastructure of entrepreneurship: the legal frameworks, the funding channels, the performance metrics, the cultural ideal of the founder working at full extraction. All of it was designed by and for a specific kind of person. Male. Unencumbered. With someone else handling the rest of life.

That architecture was never redesigned. It was rebranded. The digital economy accelerated the same extraction under a different flag and sold it back to us as empowerment. And the rest of life is not a side note: women perform 76% of the world's unpaid care work globally (UN Women / McKinsey Global Institute). The same system that refuses women access to capital is structurally sustained by women's unrecognized, uncompensated labor. Excluded from the architecture. Load-bearing for it. Both at once.

No platform, no AI tool, no organisational system available today begins from a woman's unique energetic and cognitive architecture. Not because it cannot be done. Because nobody has tried to build from a different set of principles. That is what MatriarchyLab is. And that gap is also a market.

The Framework

A bird does not take a course to learn to fly. A seed does not enroll in a program to become a tree. A fish does not need an accelerator to learn to move through water. These capacities are innate, waiting only for the right conditions to express themselves fully. We have forgotten that the same is true of us. Human beings are not blank inputs to be trained into productivity. We have a design. An architecture. A way of working, leading, and creating that is ours by nature, not by effort. The system did not remove that capacity. It removed the conditions that allow it to surface. MatriarchyLab is built to restore those conditions.

These are not conventional assessment tools. They were chosen because they begin from a different question: not what can this person produce, but what is this person's actual nature, and what does that make possible. The pilot is producing the evidence. The methodology is the IP.

Built to be self-sustaining.

Most impact organizations choose one path: a nonprofit with no revenue model, or a commercial entity with a side mission. The MatriarchyLab is a third option, and it is the only honest answer to the question of how something this important actually lasts.

Commercial Entity
Zep Tepi Studio

The commercial arm. Owner of the Ceci platform. Licenses the Zone of Genius AI technology to B2B clients: coaching practices, impact organizations, purpose-driven HR teams, and community builders who want to serve their people with the same intelligence. Revenue model: annual licensing at EUR 15,000 per organization. Target: 10 clients by end of year two.

Nonprofit Core
The Matriarchy Lab

The mission. A free, non-extractive operating system for women building from their authentic design. Funded by grants, institutional partners, and a direct revenue share from Zep Tepi Studio's Ceci licensing income. The women in the lab do not pay. The infrastructure is funded by those who understand the value of what it produces.

How the two entities work together

Zep Tepi Studio builds and owns the Ceci platform. It licenses it commercially, generating revenue. A defined percentage of that revenue flows directly to The Matriarchy Lab, making the nonprofit progressively less dependent on external grants over time. The nonprofit, in turn, is the living proof of concept: every cohort of women it runs produces real data, documented outcomes, and evidence that the methodology works. That evidence is what makes the commercial licenses credible to B2B buyers.

The commercial entity does not compromise the mission. It funds it. The nonprofit does not dilute the commercial product. It validates it. Neither can do what it does without the other.

The commercial opportunity

Ceci is the first AI agent built on Zone of Genius architecture with vector embeddings and a proprietary five-lens methodology. No equivalent exists. The addressable market includes: leadership development firms, executive coaching practices, women's professional networks, HR consultancies building people-first culture programs, and any organization that has realized that productivity tools alone do not solve the human problem they are trying to solve.

Revenue Path
B2B Licensing

EUR 15,000 per organization per year. Includes Ceci platform access for their community or client base, onboarding support, and Zone of Genius document processing for up to 25 members. Custom enterprise pricing for organizations above 50 members.

Year Two Target
10 Pilot Clients

EUR 150,000 in annual recurring revenue at 10 clients. At 20 clients by year three: EUR 300,000 ARR. At that point, Ceci licensing alone covers the full operational cost of The Matriarchy Lab, making the nonprofit self-sustaining from commercial revenue rather than grant-dependent.

The Vision

This should not cost women
a single euro more.

Women have already paid for access to the current system at a cost that does not appear on any balance sheet. The nonprofit model we are establishing receives funding from those who understand the value of what is being created, so that women can access it without price as a barrier. Not charity. Infrastructure. The same way we fund libraries, open-source software, and public health, because the return to society exceeds any individual's ability to capture it.

What we mean by Matriarchal

Not the opposite of patriarchy. Not rule by women instead of rule by men. The word "matriarchal" as we use it points to a different organizing principle altogether. The oldest human communities, before the industrial model told us there was only one way to organize life, were built around ecosystems and webs of care rather than pyramids and chains of command. They measured themselves by what they sustained and what they brought to life, not only by what they extracted and produced.

Regenerative rather than extractivist. Human-centered rather than output-centered. Holistically sustainable rather than profitable at any cost. These are not abstract values. They are design principles. And they produce radically different systems when you build from them. Ceci is that design made operational.

This is not starting from zero. Julieta is an ambassador of the Hermanas Community, a global network of women building and creating across 40+ countries. The women in that network are the first community MatriarchyLab was built for, and the field where its reach already begins.

A Social Impact Research Mission

This is not a program with an end date. It is a living laboratory in the truest sense. Each edition generates documented evidence about what becomes possible when women are supported to build from their actual design. We intend to partner with sociologists and anthropologists to analyze and formalize what the lab produces: new frameworks, new data, new language for how human beings can organize their working lives when the design begins from their nature rather than against it.

The aim is not to help women survive inside a broken system. The aim is to build a working alternative and document it rigorously enough that it becomes undeniable. Not an argument against the old architecture. A new one that makes it obsolete.

Why this will be delivered. Julieta has done this before. At the Frayba Human Rights Center in Chiapas, she was the sole person responsible for fifteen concurrent funding projects. The grant strategy she led for Balam Magazine secured the funding that brought its first physical edition into existence. That collection was subsequently acquired by the Museum of Modern Art in New York for their permanent library. She knows how non-profit funding works. She knows how to sustain it.

Nonprofit Legal Structure  ·  Confirmed: Dutch Stichting

The decision is made. The Matriarchy Lab will register as a Dutch Stichting (Foundation), the most internationally recognised European nonprofit structure, with full transparency on what it costs and why.

Total realistic range: EUR 2,585 to EUR 3,285. Budget: EUR 3,000. The Stichting also qualifies to apply for ANBI status (Algemeen Nut Beogende Instelling), a Public Benefit designation from the Dutch Tax Authority that makes donations tax-deductible for Dutch donors and exempts the foundation from inheritance and gift tax. The ANBI application is free but requires 8 to 13 weeks of processing after registration. Under 2026 legislation, all ANBIs must publish financial information on the new portal-ANBI platform.

Where to register Zep Tepi Studio as a commercial entity is a decision still open. It determines tax treatment on licensing revenue, the relationship between the commercial and nonprofit arms, and the credibility of the platform with B2B clients and investors. We are presenting three routes and genuinely inviting strategic input from the people reading this document.

If you are reading this document and have a view on which commercial structure best positions the Ceci platform for the funding ecosystem, the investor community, or the enterprise market you work in, we want to hear it. This is a genuinely open question and the right answer may depend on who comes in first.

Two Funding Scenarios

Her background spans AI-integrated systems design, human rights fundraising, strategic consulting, editorial direction, community architecture, and creative production across Buenos Aires, London, Mexico, and Europe. Spanish and English bilingual. She builds from the inside out: systems shaped around the specific reality of the people they serve.

She brings direct and sustained experience with non-profit funding to this work. She led the grant strategy for Balam Magazine, securing the funding that brought its first physical edition into existence. That collection was subsequently acquired by the Museum of Modern Art in New York for their permanent library. At the Frayba Human Rights Center in Chiapas, Mexico, she was the sole person responsible for fifteen concurrent funding projects simultaneously. She has been the founder of Middle Pillar Sounds, a monthly astrological radio residency at Netil Radio in East London, since 2019, and is an ambassador of the Hermanas Community, a global network of women building across 40+ countries. She knows how this works.

What Julieta is responsible for

  • 1:1 Zone of Genius sessions at the start of each phase with every member (3 phases per cohort, 20 members per cohort)
  • Zone of Genius document creation, deep analysis, and full personalisation for every member and their venture
  • The entire knowledge base Ceci runs on: writing, structuring, and continuously refining the intelligence she operates from
  • Product direction for Ceci: what she does, how members experience her, what gets built next and why

Founding Technical Director

Shehryar Farzand

Shery works where most people choose one thing or the other: engineering or intuition. He has never seen them as separate. For him, the logic behind a system and the rhythm it needs to move in are the same conversation.

His technical range covers the full stack of what MatriarchyLab requires: n8n automation architecture, chatbot development and AI agent logic, RESTful and custom API development, front-end implementation, and full AI-driven pipelines from input to delivery. He is currently designing and maintaining AI-powered automation systems at an applied biotechnology company in Lahore.

Everything he builds is documented, transferable, and designed to belong entirely to the practice it serves. The goal was never dependency. It was always capacity to move freely.
