This Agreement is entered into between Zep Tepi Studio, represented by Julieta Ruiz, Founder Director (hello@zeptepi-consulting.com), referred to as the Disclosing Party, and the individual identified below, referred to as the Receiving Party.
By completing and submitting this form, the Receiving Party agrees to all terms below.
All content accessible through this document, including but not limited to business strategy, financial projections, product architecture, platform design, methodology, intellectual property, dual-entity structure, partnership frameworks, and any other information disclosed herein, is considered Confidential Information.
(a) Hold all Confidential Information in strict confidence and protect it with at least the same degree of care used to protect your own confidential information, but in no event less than reasonable care.
(b) Not disclose any Confidential Information to third parties without the prior written consent of the Disclosing Party.
(c) Use the Confidential Information solely for the purpose of evaluating a potential business or partnership relationship with the Disclosing Party.
(d) Not reproduce, screenshot, copy, or distribute any portion of this document or its contents.
This Agreement remains in effect for five (5) years from the date signed below.
Upon written request from the Disclosing Party, the Receiving Party will promptly destroy or return all materials containing Confidential Information.
The Receiving Party acknowledges that breach of this Agreement may cause irreparable harm to the Disclosing Party. The Disclosing Party shall be entitled to seek injunctive relief in addition to any other legal or equitable remedies available.
Submission of this form with your full legal name constitutes a valid and binding electronic signature under EU Regulation No 910/2014 (eIDAS). The timestamp recorded at the moment of submission is legally recognised as the date and time of signing.
This Agreement is governed by the laws of the Netherlands. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of the Netherlands.

These are not conventional assessment tools. Funded by grants, institutional partners, and a direct revenue share from Zep Tepi Studio's Ceci licensing income. The women in the lab do not pay. The infrastructure is funded by those who understand the value of what it produces.
Zep Tepi Studio builds and owns the Ceci platform. It licenses it commercially, generating revenue. A defined percentage of that revenue flows directly to The Matriarchy Lab, making the nonprofit progressively less dependent on external grants over time. The nonprofit, in turn, is the living proof of concept: every cohort of women it runs produces real data, documented outcomes, and evidence that the methodology works. That evidence is what makes the commercial licenses credible to B2B buyers.
The commercial entity does not compromise the mission. It funds it. The nonprofit does not dilute the commercial product. It validates it. Neither can do what it does without the other.

The cost of deploying a sophisticated AI agent dropped 80% between 2023 and 2025. More than 75% of large enterprises have shifted at least half of their coaching programs to digital platforms. The market is growing fast and the incumbents are real. BetterUp has raised $628 million and is valued at $4.7 billion. CoachHub raised $200 million Series C. They are not the competition. They are the proof that this market is serious.
What they cannot do is what Ceci does. BetterUp and CoachHub optimize for organizational output: they match employees to coaches, measure performance, and report upward to HR. They start from the role and work down to the person. Ceci starts from the person's actual design and works outward into their work. No incumbent in this market can tell you whether a task sits inside or outside someone's Zone of Genius, because none of them have that concept. That is not a feature gap. It is a philosophical one. What we mean by Matriarchal
Not the opposite of patriarchy. Not rule by women instead of rule by men. The word "matriarchal" as we use it points to a different organizing principle altogether. The oldest human communities, before the industrial model told us there was only one way to organize life, were built around ecosystems and webs of care rather than pyramids and chains of command. They measured themselves by what they sustained and what they brought to life, not only by what they extracted and produced.
Regenerative rather than extractivist. Human-centered rather than output-centered. Holistically sustainable rather than profitable at any cost. These are not abstract values. They are design principles. And they produce radically different systems when you build from them. Ceci is that design made operational.
This is not starting from zero. Julieta is an ambassador of the Hermanas Community, a global network of women building and creating across 40+ countries. The women in that network are the first community MatriarchyLab was built for, and the field where its reach already begins.

This is not a program with an end date. It is a living laboratory in the truest sense. Each edition generates documented evidence about what becomes possible when women are supported to build from their actual design. We intend to partner with sociologists and anthropologists to analyze and formalize what the lab produces: new frameworks, new data, new language for how human beings can organize their working lives when the design begins from their nature rather than against it.
The aim is not to help women survive inside a broken system. The aim is to build a working alternative and document it rigorously enough that it becomes undeniable. Not an argument against the old architecture. A new one that makes it obsolete.
Why this will be delivered. Julieta has done this before. At the Frayba Human Rights Center in Chiapas, she was the sole person responsible for fifteen concurrent funding projects. The grant strategy she led for Balam Magazine secured the funding that brought its first physical edition into existence. That collection was subsequently acquired by the Museum of Modern Art in New York for their permanent library. She knows how non-profit funding works. She knows how to sustain it.
From the moment funding is confirmed, four workstreams run in parallel: legal establishment of both entities, Ceci's technical build, lab operations, and commercial development. Click any phase to expand it.

The decision is made. The Matriarchy Lab will register as a Dutch Stichting (Foundation), the most internationally recognised European nonprofit structure, with full transparency on what it costs and why.
A civil-law notary in the Netherlands drafts the deed of formation and articles of association. This is a legal requirement: a Stichting cannot be incorporated without a notarial deed. Cost varies by notary and complexity.

Where to register Zep Tepi Studio as a commercial entity is a decision still open. It determines tax treatment on licensing revenue, the relationship between the commercial and nonprofit arms, and the credibility of the platform with B2B clients and investors. We are presenting three routes and genuinely inviting strategic input from the people reading this document.
A Dutch BV (Besloten Vennootschap) paired with the Stichting in the same jurisdiction. The commercial-to-nonprofit revenue sharing mechanism is clean, legally well-understood, and favoured by Dutch impact investors and EU grant bodies.
Corporate tax: 19% up to EUR 200k, 25.8% above. Director salary requirement: EUR 58,000 per year (DGA, Directeur-Grootaandeelhouder, the minimum director salary required under Dutch law, 2026). Setup: EUR 1,000 to 2,500. Timeline: 1 to 3 weeks.
Pro: single jurisdiction simplicity, strong EU/grant credibility. Con: DGA minimum salary is high for early stage; substance requirements.

Named scenarios: legal complexity overage across two jurisdictions (EUR 2,000 to 4,000), commercial entity structure costs running above estimate, infrastructure emergency requiring rapid response, currency mismatch between EUR and GBP/other, and cohort transition gap of up to 6 weeks between cohort 1 and cohort 2. Not a vague buffer.
Julieta and Shery both at EUR 7,000 per month: those two salaries alone are EUR 168,000. The remaining EUR 67,000 covers full operations, both legal structures, communications, sales development, infrastructure, and a reserve. Two complete cohorts. Ceci fully built. A commercial pipeline open. An organization ready for institutional investment at the close of year one.

Shery works where most people choose one thing or the other: engineering or intuition. He has never seen them as separate. For him, the logic behind a system and the rhythm it needs to move in are the same conversation.
His technical range covers the full stack of what MatriarchyLab requires: n8n automation architecture, chatbot development and AI agent logic, RESTful and custom API development, front-end implementation, and full AI-driven pipelines from input to delivery. He is currently designing and maintaining AI-powered automation systems at an applied biotechnology company in Lahore.
Everything he builds is documented, transferable, and designed to belong entirely to the practice it serves. The goal was never dependency. It was always capacity to move freely.
